Funds investing in or linked to traded assets (including cryptocurrencies, agricultural commodities, equities, and bonds) are subject to market risk. Prices of underlying assets can be highly volatile and may change rapidly due to:

• Global economic events, recessions, or financial crises.
• Political instability or regulatory changes in Uganda or internationally.
• Commodity supply and demand shocks (e.g. adverse weather affecting agricultural yields).
• Cryptocurrency market volatility, including sudden price crashes of 50% or more.
• Currency exchange rate fluctuations affecting the UGX value of foreign assets.

Investments on the Platform are subject to lock-in periods specified per fund. You may not be able to access your invested capital before the fund matures. Even after maturity, withdrawals are subject to processing windows. In adverse market conditions, fund redemptions may be delayed.

Investing a large portion of your savings in a single fund or a single asset category increases concentration risk. We strongly recommend diversifying your investments across multiple funds and asset categories. Never invest more than you can afford to have locked away for the fund's duration.

• Technology risk: Platform downtime, software bugs, or cyber attacks could disrupt access to your account or delay transactions.
• Third-party risk: We rely on third-party services (payment processors, cloud infrastructure, mobile money operators). Failure of these services could affect your ability to deposit or withdraw.
• Key person risk: The Platform's performance depends on the skill of fund managers and platform operators.
• Fraud risk: Despite security measures, there is a risk of fraudulent activity targeting accounts. You are responsible for protecting your login credentials and transaction PIN.

The regulatory environment for investment platforms and digital assets in Uganda and internationally is evolving. Future regulatory changes may restrict, alter, or prohibit certain services offered by the Platform. In such cases, operations may be suspended or modified with limited notice.

Funds with crypto-linked strategies carry additional risks:

• Cryptocurrency markets operate 24/7 and can experience extreme volatility at any time.
• Regulatory bans or restrictions on cryptocurrency in certain jurisdictions.
• Smart contract vulnerabilities and protocol failures in DeFi-linked strategies.
• Exchange hacks, wallet breaches, or custodian insolvency.
• Loss of private keys or wallet access in self-custody scenarios.

• Crop failures due to drought, floods, pests, or disease.
• Fluctuations in commodity prices driven by global supply chains.
• Logistics and post-harvest losses affecting fund profitability.
• Seasonal income patterns that may delay profit distributions.

Returns that are positive in nominal terms may be negative in real terms if inflation in Uganda or the broader region exceeds the stated ROI of your investments. The UGX may also depreciate against other currencies, affecting the real value of your portfolio.
